UMC and LMCDC announce changes in governance

University Medical Center Inc. (UMC) announced a change to its corporate and governance structure July 9.

Norton Healthcare and Jewish Hospital & St. Mary's HealthCare have withdrawn from UMC at the request of the University of Louisville.

Previously, the UMC board of directors consisted of three members from Jewish Hospital & St. Mary's HealthCare, three members from Norton Healthcare and six members from the University of Louisville.

The new UMC board has 17 members, with nine from the community at large and eight appointed by the University of Louisville.

UMC, a not-for-profit corporation, was formed in 1996 to manage University Hospital and the James Graham Brown Cancer Center. UMC leases and operates the two facilities, located at the Louisville Medical Center.

The restructuring will not affect multiple affiliation agreements between the University of Louisville School of Medicine and Norton Healthcare and Jewish Hospital & St. Mary's HealthCare.

These agreements include teaching, research and clinical program partnerships in numerous areas such as pediatrics at Norton Healthcare's Kosair Children's Hospital; neurological surgery, orthopedics, psychiatry and surgery at Norton Hospital; and cardiac care, hand and microsurgery, movement disorders and spinal-cord injury rehabilitation at Jewish Hospital and Frazier Rehab Institute.

The Louisville Medical Center Development Corp. also announced July 9 that Norton Healthcare and Jewish Hospital & St. Mary's HealthCare have withdrawn as members of the not-for-profit corporation. The University of Louisville Foundation will take over these membership interests.
